Chapter I General Principles
Article 1 The name of the Association is China Association for the Promotion of International Medical Exchange (hereinafter referred to as the Association), and the English name is China Association for the Promotion of International Medical Exchange (CPAM).
Article 2 This Association is an academic, professional and non-profit social organization, which is composed of national medical and health science and technology workers voluntarily and registered according to law.
Article 3 The purpose of this Association is to unite medical and health science and technology personnel and medical and health care enterprises and institutions all over the country on the principle of friendly cooperation, equality and mutual benefit, actively promote exchanges and cooperation between China's medical and health care institutions and the medical and health care industries of all countries (regions) in the world, and push the health care culture of the Chinese nation to the world. Abide by the national constitution, laws, regulations and national policies, abide by social morality, keep pace with the times, innovate in science and technology, carry forward academic democracy, and seek truth from facts. Carry forward China's traditional and modern medical and health care methods, improve the physique and health level of the whole people, and promote the healthy development of medical and health care. Contribute to the Chinese dream of thoroughly implementing Scientific Outlook on Development, promoting social harmony, building a well-off society in an all-round way and realizing the great rejuvenation of the Chinese nation.
Article 4 The Association shall accept the business guidance, supervision and management of the competent business unit, the National Health and Family Planning Commission and the Ministry of Civil Affairs, the organ for registration and administration of associations.
Article 5 The meeting place of this Association is located in Beijing.

Article 7 Anyone who recognizes that the Articles of Association meet the requirements for membership may apply for membership. The association has individual members and unit members.
Article 8 Various membership conditions
I. Individual members
1. graduated from a medical college and obtained the corresponding technical title (qualification);
2. Graduated from a non-medical college, but engaged in medical workers;
3. People who actively support the work of the Association and work in this professional field;
4. Members of other scientific and technological societies or organizations that meet the above conditions may apply to become members of the Association.
Second, the unit members
Medical and health institutions, enterprises and institutions that are willing to participate in the activities of the association, support the articles of association, support the work of the association, have a certain influence in the business field of the association, and have a certain number of scientific and technological personnel.
Article 9 Procedures for examination and approval of membership
Individual membership is applied by myself, introduced by two members of the association or recommended by the unit; The unit members apply to the Association and submit relevant certification materials, which shall be examined and approved by the Council or the Standing Council of the Association.
Article 10 Rights and obligations of members
I. Rights
1, enjoy the right to vote, be elected and vote;
2. Enjoy the right to know, suggest and supervise the work of this association;
3. Participate in our activities and get the priority of our services;
4. Joining is voluntary and quitting is free.
Second, obligations
1. Abide by the articles of association and rules and regulations of this association;
2. Implement the resolutions of this Council;
3. Actively participate in the science and technology promotion and social welfare activities organized by this Association, and complete the tasks entrusted by this Association;
4. Reflect the situation to the Association, provide relevant information, and consciously safeguard the legitimate rights and interests and reputation of the Association;
5. Pay the membership fee as required.
Article 11 The Association issues membership cards to all kinds of members.
Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association within one year, it will be deemed as voluntary withdrawal, and his corresponding duties, rights and obligations in the association will automatically terminate, and he shall not carry out activities in the name of the association.
Article 13 If a member seriously violates laws, regulations and the Articles of Association, it shall be studied and approved by the Council or the Standing Council, and depending on the seriousness of the circumstances and problems, he shall be given a warning, informed criticism or even dismissed.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the member congress, and its functions and powers are as follows
1. Formulate and modify the articles of association of this Association;
2. Election and removal of directors;
3. To consider the work report and financial report of the Council;
4. To consider major issues concerning the development of the Association;

6. Formulate and revise the membership fee standard;
Seven. Decided to terminate;
8. Decide on other major issues.
Fifteenth members' congress can only be held when more than two thirds of the delegates are present, and its resolutions can only take effect when more than half of the delegates present vote.
Article 16 The term of office of the General Assembly is five years. If the term of office needs to be changed in advance or postponed due to special circumstances, it must be approved by the board of directors and reported to the registration authority for approval. However, the term of office shall not be extended for more than one year.
Article 17 The Council is the executive body of the member congress, leading the association to carry out its daily work when the member congress is not in session, and being responsible to the member congress.
Article 18 Functions and powers of the Council
First, the implementation of the resolutions of the member congresses;
2. Elect and recall the president, vice president, secretary general and executive director;
Third, prepare to hold a member congress;
Four, report the work and financial situation to the members' congress;
5. Decide on the absorption and recall of members;
6. To decide on the establishment, alteration and cancellation of offices and branches;
Seven, decided to deputy secretary general, the main person in charge of the organization;
Eight, leading the work of various institutions of the Association;
Nine, formulate internal management system;
X. decide on other important matters.
Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present. If a director is unable to attend the meeting for some reason, he may entrust a representative in writing to attend and enjoy the right to vote. If the director himself and the non-entrusted representative fail to attend the board meeting for 2 times, they will automatically lose their qualifications as directors.
Article 20 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.
Article 21 The Association shall set up a standing council, which shall be elected by the council, and shall exercise the functions and powers in items (1), (3), (5), (6), (7), (8), (9) and (10) of Article 18 when the council is not in session, and shall be responsible to the council. The number of executive directors shall not exceed one third of the number of directors.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall hold a meeting at least once every six months, which may be held in advance or postponed if necessary, or by means of communication under special circumstances. When the executive director is unable to attend the meeting, he may entrust a representative in writing to attend and enjoy the right to vote. If the managing director himself and the non-entrusted representative do not attend the meetings of the Standing Council for more than 4 times, they will automatically lose their qualifications as managing directors.
Twenty-fourth president, vice president and secretary general must meet the following conditions
First, adhere to the party's line, principles and policies and good political quality;
Second, it has great influence in the business field of this association;
3. The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
Fourth, be healthy and be able to stick to normal work;
5. No criminal punishment of deprivation of political rights;
6. Have full capacity for civil conduct.
Article 25 If the Secretary-General of the Association and the above-mentioned person-in-charge exceed the prescribed working age, they shall be discussed and approved by the Council, reported to the competent business unit for examination and approval, and then they can take up their posts.
Article 26 The President and Vice President of the Association shall be elected by the Council. The Secretary-General is nominated and appointed by the President and approved by the Council. The term of office is five years, and the maximum term of office shall not exceed two terms. If it is necessary to extend the term of office for special reasons, it shall be approved by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration authority before taking office.
Article 27 The president of this Association shall be the legal representative of this Association.
The legal representative will sign relevant important documents on behalf of the Association.
The legal representative of this Association cannot concurrently serve as the legal representative of other societies.
Article 28 The president shall exercise the following functions and powers
1. Convene and preside over the general meeting of members, the Council, the Standing Council and the office meeting of the President's Secretary-General;
Two, check the implementation of the resolutions of the above meeting.
Article 29 The Secretary-General shall exercise the following functions and powers
1. Assist the president to preside over the daily work of the office and organize the implementation of the annual work plan;
Second, coordinate the work of various institutions;
Three, deputy secretary general and the principal responsible person of each institution shall be nominated by the Council or the Standing Council;
Four, assist the president to select full-time staff of the office;
5. Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 30 Sources of funds of the Association
1. membership fee;
Second, donations;
Third, government funding;
Income from activities or services provided within the approved business scope;
5. interest;
6. Other lawful income.
Article 31 the association collects membership fees in accordance with the relevant provisions of the state. We don't charge any fees for commendation activities.
Article 32 the funds of this association are mainly used for
1. Business scope and career development as stipulated in the Articles of Association;
2. Necessary administrative office and personnel salary expenses;
3. Other matters decided by the Council or the Standing Council.
Article 33 An association shall implement the Accounting System for Non-profit Organizations and establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting materials.
Article 34 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association shall implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and relevant departments. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Thirty-sixth financial audit must be carried out before the association changes or changes its legal representative.
Article 37 All the assets of the Association and its added value shall be owned by the Association, and no unit or individual may occupy, privately divide or misappropriate them, or distribute them among its members.
Article 38 An association shall establish a system for the appointment and management of full-time staff. The wages, insurance and welfare benefits of full-time staff shall be decided by the Council or the Standing Council in accordance with the relevant provisions of the state.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this association shall be approved by the Council, and submitted to the competent business unit and the competent registration authority for preliminary examination, and then submitted to the members' congress for deliberation.
Article 40 The revised articles of association of this Association shall come into effect after being adopted by more than two thirds of the members' representatives attending the general meeting and reported to the registration authority for approval within 15 days.
Chapter VII Emblem
Article 41 The emblem consists of two blue concentric circles, which symbolizes unity. The green topographic map of China in the middle represents China; The blue snake stick is a symbol of international medical treatment and health.
The black font "China Health Care International Exchange Promotion Association" is printed between the inner ring and the outer ring, and the red English letter "CPAM" is the English abbreviation of China Health Care International Exchange Promotion Association.
The overall picture highlights that China Health Care Association for the Promotion of International Exchanges has strengthened exchanges and cooperation at home and abroad in the development of health care.
The emblem can be printed in color or monochrome.
Chapter VIII Termination Procedure and Property Disposal after Termination
Article 42 A motion to terminate this Association shall be put forward by the Council or the Standing Council, reported to the members' congress for voting, and liquidated after approval by the registration authority.
Article 43 This Association shall set up a liquidation organization under the guidance of the registration authority and relevant departments to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 The Association shall be terminated after its registration is cancelled by the registration authority.
Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association or donated to non-profit organizations under the supervision of the registration administration organ and in accordance with relevant state regulations.
Chapter IX Supplementary Provisions
Article 46 The Articles of Association was adopted by the fifth members' congress on March 3, 20 15 1 month.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority.
