Chapter I General Principles

Article 1 The name of this Association is Guangdong Health Food Industry Association. English name: Guangdong Health Food Industry Association

Article 2 The nature of this Association is: it is a province-wide industry organization composed of health food, nutritious food, health care enterprises, institutions and scientific research units, and it is a non-profit social group legal person approved by the Civil Affairs Department of Guangdong Province.

Article 3 The purposes of this Association are: to support the Producers' Party of China; Abide by the Constitution, laws, regulations and national policies, and abide by social morality; Actively act as a bridge and link between the government and its members, and assist government departments to do a good job in the management of health food, nutritious food and health care industry; Coordinate member relations, guide industry self-discipline and maintain fair competition; Serve members and safeguard their legitimate rights and interests; Promote scientific and technological progress, promote the healthy development of the industry and contribute to Guangdong's economic development.

Article 4 This Association accepts the supervision and guidance of the Guangdong Provincial Civil Affairs Department and the supervision and management of the organization registration authority, and accepts the business guidance of the relevant functional departments of the provincial government.

Article 5 The activity area of this Association is Guangdong Province.

Article 6 The domicile of this Association is located in Guangzhou.

Chapter II Scope of Business

Article 7 The business scope of this Association

(a) to publicize the laws, regulations and rules of the state on this industry and organize members to study and implement them;

(2) Representing and safeguarding the legitimate rights and interests of industries and members and their economic interests, objectively and fairly mediating contradictions and disputes among members, members and non-members, and members and consumers, safeguarding social public interests and assisting the government in building a harmonious society.

(3) standardize behaviors, strengthen self-discipline of industries and members, formulate rules and regulations according to the characteristics of industries, strengthen self-discipline of product quality, service quality and product promotion, cooperate with the supervision and management of relevant government departments, and crack down on the manufacture and sale of counterfeit and shoddy products and illegal acts. Promote the honest operation of the industry and members, and maintain fair competition between members and the industry.

(four) to accept the functions of enterprise qualification identification and rating, professional and technical titles, professional qualification assessment, inspection and evaluation, industry appraisal and reward granted or authorized by the relevant government departments.

(six) to assist enterprises and member units in the industry to implement brand-name strategy, independent innovation, development of new products, development of independent intellectual property rights, to assist the government in formulating and revising industry standards, and to enhance core competitiveness.

(seven) to put forward suggestions and opinions to the government on the evaluation of famous trademarks, brand-name products and other products involving member enterprises in the selection industry.

(eight) for the purpose of service, actively carry out international exchanges, organize market development, release market information, and carry out industry training, technical exchanges, technical services, technical consultation, product exhibitions and other activities.

(nine) to undertake other matters authorized and entrusted by the government and relevant departments;

(ten) to carry out the purpose of the association and other activities permitted by the government.

Chapter III Members

Article 8 All enterprises and institutions directly engaged in the production, sale, scientific research, inspection and education of health food, nutritious food, organic functional food, dietotherapy and health care, medicated diet, herbal tea, food and food additives and health care products may apply to the Association and become members of the Association after examination and approval.

Article 9 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) voluntarily joining the Association;

(three) have a certain impact in the field of this industry:

(4) Holding an industrial and commercial business license and other relevant certificates.

Article 10 The membership procedure is:

(1) submitting an application for membership;

(two) the application accepted by the Secretariat shall be submitted to the Standing Council or the president's office meeting for discussion and approval after examination;

(3) The Council authorized the Secretariat to issue membership cards.

Article 11 Members shall enjoy the following rights:

(a) to participate in the activities of the association; Attend the meeting of member representatives;

(two) the right to vote, to be elected and to vote;

(three) to obtain the priority of our services;

(four) have the right to criticize, suggest and supervise the work of this association;

(5) Freedom of voluntary membership and withdrawal;

Article 12 Members shall perform the following obligations:

(1) Abide by the articles of association;

(two) to implement the resolutions of this Council; Abide by the rules and regulations formulated by the association;

(3) Paying membership fees according to regulations;

(four) to safeguard the legitimate rights and interests of associations and industries;

(five) to complete the work assigned by the association and consciously participate in the activities of the association;

(6) Report the situation to this Council and provide relevant information.

Thirteenth members pay membership fees:

General member units pay an annual membership fee of 3,000 yuan; The director unit pays 10000 yuan every year; The executive director unit is 20,000 yuan per year; Deputy director unit 100000 yuan per year; The annual salary of the president unit is 200,000; The annual salary of the Working Committee is 200,000.

Article 14 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for one year, it will be deemed as automatic withdrawal.

Fifteenth members do not abide by the articles of association, the trade association will criticize and educate them. If there is a serious violation of the Articles of Association or national laws and regulations, it will be given a warning, rectified within a time limit, and removed from the list after being voted by the Board of Directors or the Standing Committee.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 16 this association is composed of members, and members form a general meeting. If the number of members exceeds 100, representatives can be elected to form a member congress, and the member representatives are elected by the members. The members' congress is the highest authority of the trade association and exercises its functions and powers in accordance with national laws and regulations and the articles of association of the trade association.

Article 17 The general meeting of members shall exercise the following functions and powers:

(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;

(2) Electing and removing directors, presidents, vice-presidents, secretaries-general (appointment system) and supervisors; (The election was held by secret ballot)

(3) To review the annual work report and annual financial budget and final accounts plan of the board of directors and the board of supervisors (supervisors);

(four) to consider the recommendations of the Council on the recall of members;

(five) to make resolutions on the alteration, dissolution and liquidation of the association;

(six) to change or cancel the inappropriate decisions of the Council;

(seven) to formulate or amend the articles of association and election methods of the organization;

(8) Deciding to terminate.

(9) Deciding on other major matters.

Article 18 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Standing Council and reported to the registration authority of the Association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Standing Council deems it necessary or more than one-fifth of the members propose, an interim general meeting may be held. Members' congresses can only be convened when more than two thirds of the members' representatives are present, and their resolutions can only take effect when more than half of the members present vote.

Nineteenth members' congress must be attended by more than two thirds of the members; Its resolution must be adopted by more than half of the members' representatives.

The members' congress shall make minutes of the decisions on the matters discussed and announce them to the members.

Article 20 The Association shall have a Council. The Council is the permanent body of the member congress. When the member congress is not in session, it will perform its duties according to the resolutions and articles of association of the member congress. The number of directors is one-third of the number of representatives of members.

Article 21 The functions and powers of the Council are:

(1) Prepare and convene the general meeting [or general meeting];

(two) to implement the resolutions of the general meeting of members [or the general meeting of members] and report to the general meeting of members [or the general meeting of members];

(three) to decide on the specific work and business of the association;

(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;

(five) to formulate plans for increasing or decreasing the registered capital of the Association;

(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;

(seven) to decide on the membership of the new applicant and the punishment of the member, and put forward the proposal of removing the member;

(eight) to appoint or dismiss the Secretary-General of the appointment system and decide on the main persons in charge of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, the heads of offices and representative offices, and decide on their remuneration;

(nine) to formulate the internal management system of the association;

(ten) other matters stipulated in the articles of association.

Article 22 The Council shall hold a meeting at least once a year (under special circumstances, it may also be held by means of communication). The board of directors shall be convened only when more than half of the directors are present, and its resolutions shall take effect only after voting by more than half of the directors present at the meeting. The board of directors shall form minutes of the resolution and announce it to all directors.

The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.

Article 23 The Association shall establish a standing council. The Standing Council shall be elected by the Council, exercise the functions and powers stipulated in Article 21 when the Council is not in session, and be responsible to the Council. The Standing Council shall be convened at least twice a year or by means of communication, and the resolutions of the Standing Council shall be adopted by more than half of the executive directors.

The Standing Council shall make minutes of the decisions on the matters discussed.

Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:

(1) The secretariat of the trade association shall put forward a specific plan for setting up branches;

(two) submit the specific plan to the president's office meeting for discussion and adoption;

(3) Submit the adopted concrete plan to the Standing Council for deliberation and approval.

(four) reported to the social organization registration authority for examination and approval.

Article 25 The Association shall have 1 supervisor, who shall be elected by the general meeting of members for the same term as the Board of Directors. The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors. Upon expiration of the term of office, he may be re-elected.

Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The president, vice-president (executive vice-president) and secretary-general are not more than 70 years old, and the secretary-general is full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 27 The Association shall have one president and several vice-presidents. Under special circumstances of the association, the vice-president or the secretary-general may act as the legal representative, and may act as the legal representative with the approval of the association registration authority. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The Secretary-General of the Association shall be concurrently the executive vice-president and nominated by the president, and the appointment system shall be implemented. The secretary-general and the chairman cannot be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General.

Article 29 The term of office of the President, Vice-President and Secretary-General of this Association is four years, and the term of office may not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than half of the members' representatives attending the member congress.

Article 30 The President of this Association shall exercise the following functions and powers:

(1) To decide on the annual work plan of the Association and approve the annual financial budget and final accounts of the Association;

(2) Convening and presiding over meetings of the Council and the Standing Council;

(three) to check the implementation of the resolutions of the members' congress, the Council or the Standing Council;

(4) Signing relevant important documents on behalf of the Association;

(five) in case of special circumstances, decide on major issues in the name of the Standing Council, convene the Standing Council afterwards, and report to the Standing Council.

Article 31 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(three) the nomination of the Standing Council to decide the deputy secretary general;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handling other daily affairs;

Article 32 A supervisor shall exercise the following functions and powers:

(a) report to the members' congress.

(two) to supervise the election and recall of members' congresses and councils; Supervise the Council to implement the resolutions of the member congresses.

(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments.

(4) Supervisors have the right to raise questions and suggestions to the Board of Directors as participants without voting rights.

(5) Supervising the compliance of the Council with laws and articles of association. When the behavior of the president, vice-president, directors, secretary-general and other managers harms the interests of the association, they are required to correct it and report to the member congress or relevant government departments when necessary.

Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the members' congress and earnestly perform their duties.

Chapter V Principles of Asset Management and Use

Thirty-third sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 34 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.

Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.

Article 35 the funds of this association must be used for the business scope and career development as stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.

Article 36 If the president, vice-president, directors, supervisors, secretary-general and staff members of the association privately divide, occupy or misappropriate the property of the association, they shall return it and conduct a review at the members' congress; If a crime is constituted, criminal responsibility shall be investigated according to law.

Article 37 This Association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting data.

The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.

Article 38 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 39 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 40 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.

Article 41 An association shall, in accordance with the Regulations of Guangdong Province on Industry Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.

Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.

Forty-second full-time staff of the Association shall implement full-time appointment system, openly recruit for the society and sign labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.

Chapter VI Procedures for Amending the Articles of Association

Forty-third amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 44 The revised articles of association of this Association shall come into effect after being approved by the registration authority of this Association within 30 days after being adopted by the members' congress.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 45 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:

(a) to complete the purpose stipulated in the articles of association;

(2) The general meeting of members decides to dissolve;

(3) Division or merger of the association;

(four) unable to continue to work in accordance with the purpose of the articles of association;

Article 46. The motion to terminate this association must be voted by the members' congress and reported to the association registration authority for examination and approval.

Article 47 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority of associations and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The Association shall go through the cancellation procedures with the registration authority within 15 days after the liquidation.

Article 48 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 49 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 50 The Articles of Association was adopted by the members' congress on June 24, 2006.

Article 51 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 52 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
