Constitution of China Association of Old Professors
Chapter I General Principles

Article 1 The name of this Association is China Old Professors Association (CSPA for short).

Article 2 This Association is a national, professional and non-profit social organization formed voluntarily by professors, associate professors, researchers, associate researchers and other experts and scholars with senior titles who are generally over 55 years old to give full play to their academic expertise and continue to serve the socialist cause.

Article 3 Purpose: Hold high the great banner of Socialism with Chinese characteristics, thoroughly implement Scientific Outlook on Development under the guidance of Marxism–Leninism, Mao Zedong Thought, Deng Xiaoping Theory and Theory of Three Represents, adhere to the Party's basic line, promote reform and opening up, promote scientific development, promote social harmony and stability, and serve the overall construction of a well-off society. Give full play to the role of the association as a bridge and link between the party and the government to contact the old professors, unite the majority of old professors, implement the strategy of rejuvenating the country through science and education, strengthening the country through talents and sustainable development for building an innovative country, prosper China's education, science and technology and cultural undertakings, and make new contributions to the great rejuvenation of the Chinese nation.

Strictly abide by the national constitution, laws, regulations and policies, advocate social morality, carry forward the scientific spirit, and maintain the style of modesty and hard work.

Article 4 This Association shall accept the professional guidance, supervision and management of the Ministry of Education and the Ministry of Civil Affairs, the competent business unit.

Article 5 domicile of the association: Beijing.

Chapter II Scope of Business and Areas of Activities

Article 6 According to the needs of the country, society and market, the Association will mobilize the enthusiasm of old professors and experts to serve the construction of national political, economic, cultural, social and ecological civilization. The main tasks are:

First, carry out higher education and continuing education to improve the quality of higher education. Sponsor or cooperate with various kinds of multidisciplinary private colleges and universities, especially the high-level talent education after running the university well, so as to cultivate high-quality talents for the country. Provide professional training and other forms of services according to the needs of all walks of life.

Two, accept the employment of institutions of higher learning and other units, responsible for giving lectures, giving lectures, guiding graduate students, training young teachers and teaching management, teaching quality evaluation and other work.

Three, adhere to the principle of paying equal attention to social science and natural science, give play to the advantages of multidisciplinary, and carry out scientific and technological research and consulting services. According to the needs of government agencies, enterprises and institutions, to carry out scientific research, demonstration, evaluation, consulting, intermediary, development and other services. Run private scientific and technological consulting and development research institutions well to serve the transformation of scientific and technological achievements into real productive forces and the construction of socialism as soon as possible.

Fourth, according to the concerns of the state and government departments, the urgent needs of the market and the needs of society, we will organize special studies, hold high-level academic conferences, conduct academic discussions and consultations, and provide research results to relevant government departments and units for decision-making reference.

Five, to participate in activities to organize and publicize scientific knowledge, take lectures, writing articles, etc., in the whole society, especially young people to promote honesty, advocate science, encourage innovation, oppose academic corruption, and oppose superstition and pseudoscience.

Six, to carry out research and innovation activities in literature, art, sports, health and other aspects, to carry out the excavation and research of China's cultural heritage, and to produce more fine products and talents, so as to make contributions to carrying forward national culture, inheriting fine traditions and cultivating national spirit.

Seven, organize the compilation or translation of monographs, books, teaching materials and materials, and recommend the publication of high-level academic monographs and popular science books.

Eight, carry out domestic, international and regional academic exchanges and cooperation, strengthen ties with overseas educational and scientific and technological institutions, organize scholars to exchange visits and academic seminars, and promote the development of education and science and technology in China.

Nine, to participate in the organization and promotion of youth socialist core values education, to cultivate young people to establish a correct world outlook, outlook on life, values and moral values to contribute.

Ten, to participate in and promote the development of social aging, with the approval of the relevant government departments, to commend the old professors and experts who have made outstanding contributions in science and education, to publicize and promote the healthy construction of scientific health and longevity of the elderly. Care and safeguard the legitimate rights and interests of old professors and experts.

Eleven, organize members to carry out various forms of lively networking activities.

Article 7 The activity area of this Association is the whole country.

Chapter III Members

Article 8 Members of this Association are divided into individual members and unit members.

Individual member

Individual members who join this association need to meet the following conditions:

1. Experts and scholars with associate professor, associate researcher or other senior titles;

Two, the age is generally over 55 years old, healthy, willing and able to participate in the activities of the organization;

Third, support the articles of association and join the association voluntarily.

Unit member

On the basis of supporting the articles of association and being completely voluntary, the following organizations or units may join the association as unit members:

1. Association of Old Professors of all provinces, autonomous regions and municipalities directly under the Central Government;

Second, the association of old professors in some universities;

Third, the association of old professors in scientific research institutes and other units directly under the ministries and commissions;

Four, with professors and experts as the main body, with legal status of social organizations or scientific and technological enterprises.

Article 9 Membership procedures:

1. Individual members must be introduced by two members and fill in the membership application form. Unit members should submit relevant certificates and profiles and fill in the membership application form;

Two, discussed and approved by the Standing Council of the members of this unit; Individual members are discussed and approved by institutions authorized by the association;

Third, award membership certificate.

Article 10 Members shall enjoy the following rights:

1. The right to vote, to be elected and to vote;

2. Participate in activities organized by the Association and obtain relevant information of the Association;

Third, give priority to the activities organized by this association to serve the society;

4. To criticize, suggest and supervise the work of this Association;

5. Freedom to quit the meeting.

Article 11 Members shall perform the following obligations:

First, implement the resolutions of the Security Council;

Second, complete the tasks assigned by this association;

Third, safeguard the social reputation and legitimate rights and interests of this association;

4. Exchange business information with the Association;

5. Payment of membership fees.

Article 12 Withdrawal: Individual members shall notify the Association in writing and return their membership cards; Members of the unit shall submit written notice, return relevant certificates and deal with the remaining problems.

Members 1 year who fail to pay their membership fees or participate in the activities of the association are deemed to have withdrawn automatically.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:

1. Formulate and modify the articles of association of this Association;

2. Election and removal of directors;

3. To consider the work report and financial report of the Council;

Fourth, formulate and revise the membership fee standard;

Verb (abbreviation for verb) determines termination and other important matters.

Article 15 A member congress can only be held when more than two thirds of the delegates are present, and its resolution must be adopted by more than half of the delegates present. Amendments to the articles of association must be adopted by more than two-thirds of the delegates present at the meeting.

Article 16 Members' congresses are held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the Ministry of Education for review and approved by the Ministry of Civil Affairs. The longest extension of the term of office shall not exceed one year.

Article 17 The Association shall have a Council. The Council is elected by the member congress and is the executive body of the member congress. When the Congress is not in session, lead the Association to carry out its daily work and be responsible to the Congress. A director shall meet the following conditions:

First, the ideological and political quality is good and the style is excellent;

Two, teaching, scientific research and management achievements are remarkable, which have great influence in related fields;

Third, love the old professor's career and be enterprising;

Fourth, extensive social contacts and strong activity ability.

Article 18 The Association shall have a president, a vice-president and a secretary-general, who shall be elected by the Council. Honorary posts are appointed as needed.

Article 19 Functions and powers of the Council

First, the implementation of the resolutions of the member congresses;

2. Elect and recall the executive director, president, vice president and secretary general;

Third, organize a meeting of member representatives;

Four, report the work and financial situation to the members' congress;

Five, according to the recommendations of the Standing Council to decide the appointment of honorary posts;

6. Decide to recall members;

Seven. To decide on the establishment, alteration and cancellation of offices, branches and entities;

8. To decide on the appointment and removal of the Deputy Secretary-General and the principals of various institutions;

Nine, leading the work of various institutions of the Association;

Ten, formulate the internal organization and management system of the association;

Xi。 Decide on other major matters.

Article 20 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall be adopted by more than two thirds of the directors present at the meeting. The board meeting shall be attended by the directors themselves. If a director is unable to attend for some reason, he may entrust other directors to attend in writing, and the power of attorney shall specify the scope of authorization.

Article 21 The board meeting shall be held at least once a year. Under special circumstances, it can be held by communication.

Article 22 The Association shall establish a standing council. The Standing Council is elected by the Council and exercises the following functions and powers when the Council is not in session:

First, implement the resolutions of the Council and formulate the annual work plan;

2. Report to the Council on its work and financial situation;

3. The powers of 19, items 1, 3, 6, 7, 8, 9 and 10.

The Standing Council shall be responsible to the Council, and the number of its members shall not exceed one third of the number of directors.

Article 23 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall be adopted by more than two thirds of the executive directors present at the meeting.

Twenty-fourth executive meetings are generally held once every quarter, and can be held by means of communication under special circumstances.

Article 25 The qualifications of the President, Vice-President and Secretary-General of this Association are as follows:

First, good political thinking, adherence to the party's line, principles and policies, law-abiding, honest and dedicated;

Second, it has great influence and strong management ability in related business fields;

Three, the highest age is generally not more than 70 years old, the secretary general is full-time;

Four, can adhere to the daily work of the association;

5. Have full capacity for civil conduct.

Twenty-sixth candidates for president, vice president and secretary general shall be submitted to the Ministry of Education for examination and approval, and shall be approved by the Ministry of Civil Affairs before taking office.

Article 27 The term of office of the President, the Vice-President and the Secretary-General is four years, and they may be re-elected for one term. If it is necessary to extend the term of office due to special circumstances, it shall be reported to the Ministry of Education for examination and approval, and shall be re-elected only after more than two-thirds of the representatives attending the member congress vote.

Article 28 The president is the legal representative of the Association. The legal representative will sign relevant important documents on behalf of the Association.

Due to special circumstances, the vice president or the secretary general may act as the legal representative upon the authorization of the president, the approval of the Council, the examination of the Ministry of Education and the approval of the Ministry of Civil Affairs.

The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 29 The President shall exercise the following functions and powers:

1. Convene and preside over meetings of the Council and the Standing Council;

Two, check the implementation of the resolutions of the members' congress, the Council and the Standing Council;

Third, organize to give full play to the advantages of this association and make contributions to society;

Four, responsible for ideological, political and work style construction.

The vice president assists the president in his work.

Article 30 The Secretary-General shall exercise the following functions and powers:

I. Preside over the daily work of the office and organize the implementation of the annual work plan;

Second, coordinate the work of all branches and entities;

Three, the nomination of deputy secretary general, the main person in charge of various offices and units, submitted to the Council or the Standing Council for decision;

Four, decide on the employment of full-time staff in the office;

Five, organize the formulation and implementation of the office work procedures and management system;

Six, responsible for the ideological, political and work style construction of office staff, to prevent the occurrence of violations;

7. Handle other daily affairs.

Article 31 The President, the Executive Vice President and the Secretary-General form a collective leadership team, which is responsible for timely studying and handling important matters in the daily work of the Association.

Thirty-second according to the needs of work and management, the association set up branches such as professional committees, and go through the examination and approval procedures according to regulations.

Thirty-third branches of the association do not have legal personality, and the full name of "Professional Committee of China Association of Old Professors" should be used when communicating or writing. Its activities shall be carried out within the business scope stipulated in the articles of association, and branches shall not set up branches to sign contracts with foreign countries. The signing of contracts with foreign countries shall be authorized by FSC in writing.

Article 34 Universities and scientific research institutes sponsored by the Association are important positions to give full play to the role of old professors, entities of the Association, and legal entities registered by relevant government departments, which operate independently, assume responsibility for their own profits and losses, and bear legal and civil liabilities independently. The association should actively support and help, promote its development and strengthen supervision and management.

Chapter V Principles of Asset Management and Use

Thirty-fifth sources of funds of the Association:

1. membership fee;

Second, donations;

Third, government funding;

Income from activities or services provided within the approved business scope;

5. interest;

6. Other lawful income.

Article 36 The Association shall collect membership fees according to the membership fee standards formulated by the relevant state regulations.

The association will carry out commendation and reward activities without charging any fees.

Article 37 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and shall not be used for other purposes.

Article 38 A strict financial management system shall be established for the funds of this Association to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 39 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 40 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 41 Before changing its legal representative, the association shall accept the financial audit organized by the Ministry of Civil Affairs and the Ministry of Education.

Article 42 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Chapter VI Procedures for Amending the Articles of Association

Forty-third amendments to the articles of association of this association shall be approved by the Council and submitted to the members' congress for deliberation.

Article 44 The revised articles of association of this Association shall be submitted to the Ministry of Education for review within 15 days after being adopted by the members' congress, and shall take effect after being approved by the Ministry of Civil Affairs.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 45 When an association needs to be cancelled due to the completion of its purpose, self-dissolution, division or merger, the Council or the Standing Council shall propose a termination motion. The motion for termination must be voted by the members' congress and reported to the Ministry of Education for approval.

Article 46 Before the termination of this Association, a liquidation team shall be established under the guidance of the Ministry of Education and relevant units to be responsible for liquidating the assets of this Association, handling the aftermath of creditor's rights and debts, and completing the liquidation work within six months. Activities other than liquidation shall not be carried out during the liquidation period.

Article 47 After the liquidation result is reported to the Ministry of Education for confirmation, it is submitted to the Ministry of Civil Affairs for cancellation of registration, and the registration certificate, seal and financial vouchers of social organizations as legal persons are returned, and the cancellation registration documents issued by the Ministry of Civil Affairs are obtained, which means termination. Under the supervision of the Ministry of Education and the Ministry of Civil Affairs, the remaining property after the termination of the association will be used to develop undertakings related to the purpose of the association in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 48 The Articles of Association was adopted by the seventh general meeting of shareholders on February 3, 2065, and the revised Articles of Association.

Article 49 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 50 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
