Chapter I General Principles

Article 1 Name of this group: Laozi Taoist Culture Research Association. China Laozi Taoism cultural research institute

Article 2 Nature of this group: Laozi Taoist Culture Research Association is a mass academic group of Taoist culture researchers and enthusiasts all over the country. Its members come from academic research institutions, universities, Taoist organizations and related social groups all over the country, and it is a non-profit social group established on a voluntary basis.

Article 3 The purpose of this group is to follow the policy of "letting a hundred flowers blossom and a hundred schools of thought contend", carry forward the style of study of seeking truth from facts and integrating theory with practice, and carry out academic exchange activities at home and abroad, so as to improve the academic level of Laozi's Taoist culture research, prosper China's scientific and cultural undertakings and enhance China's comprehensive national strength. This group accepts the political leadership of the Party committee of the competent unit, abides by the Constitution, laws, regulations and national policies, and abides by social morality.

Article 4 The competent unit of this group: China Academy of Social Sciences.

Article 5 The meeting place of this group: Beijing, China.

Chapter II Scope of Business

Article 6 The business scope of the Group:

(1) Taoist culture includes Daoism, Daoism, Taoism and other disciplines, so all disciplines have branches, which will be reported to Laozi Cultural Foundation. Under the leadership of Lao Tzu's Taoist Culture Research Association, these branches are managed and coordinated in a unified way.

(two) to cultivate academic talents of Taoism, Taoism and Dandao culture, promote national fitness and cultural undertakings, and improve the academic level and physical quality of the majority of Taoist culture lovers.

(three) to hold various professional academic seminars and reports to exchange research results and experiences.

(four) to carry out Taoism, Taoism, health, neo-Taoism, Taoist classics, Taoist magic and other Taoist cultural undertakings and national health and fitness activities.

(5) The Research Association will declare the establishment of the magazine "Research on Taoist Culture of Laozi" and the newsletter of the Research Association, introduce the research achievements and new academic progress of Taoism at home and abroad, and communicate the information of academic activities of members.

(6) Academic exchanges and friendly activities with relevant foreign academic institutions, organizations and foundations.

Chapter III Members

Article 7 Members of this group are divided into group members and individual members.

Article 8 A member applying to join this group must meet the following conditions:

(a) support and abide by the articles of association of this group;

(two) have the will to join this group;

(3) It has certain influence in the business field of the Group.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(2) Introduction by a director or two members;

(three) discussed and approved by the Standing Council;

(4) The membership card shall be issued by the Council or an institution authorized by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote of this group;

(two) to participate in the relevant activities of this group;

(three) to obtain the priority of this group service;

(four) have the right to criticize, suggest and supervise the work of this group;

(5) Freedom of voluntary membership and withdrawal;

(6) Give priority to the use of materials or publications published by this Association.

Article 11 Members shall perform the following obligations:

(a) Implementing the resolutions of the Panel;

(two) to safeguard the legitimate rights and interests and social reputation of this group;

(three) to accept the leadership of this association and safeguard the unity of this association;

(four) to complete the work assigned by the group;

(five) to pay membership fees in accordance with the provisions;

(six) to report the situation to the group and provide relevant information;

(7) Contributing to the publications of this Association;

Article 12 When a member withdraws from the meeting, he shall notify the group in writing and return his membership card.

If a member fails to pay the membership fee or participate in group activities within 1 year, it will be deemed as automatic withdrawal.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this group is the members' congress. The functions and powers of the members' congress are:

(a) to formulate and amend the articles of association;

(two) to elect and recall the directors and leading members of the association;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(5) Deciding on other major matters.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 The Council is the executive body of the general meeting of members and is responsible for the general meeting of members.

Article 17 The group shall establish a standing council. The Standing Council is elected by the Council, exercises its functions and powers when the Council is not in session, leads the group to carry out its daily work and is responsible to the Council.

Article 18 The term of office of the general meeting is five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Standing Council, reported to the competent business unit for review, and approved by the community management organ. However, the longest extension shall not exceed 1 year.

Article 19 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect or recall the chairman (president), vice chairman (vice president) and secretary general;

(3) The Board of Directors has hired many celebrities and senior scholars as consultants or honorary directors of the Institute;

(four) to prepare for the convening of the members' congress;

(five) to report the work and financial situation to the members' congress;

(six) to decide to absorb or recall members;

(7) Deciding to establish offices, branches, representative offices and entities;

(eight) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(nine) to lead the work of this group;

(ten) to formulate internal management system;

(eleven) to decide on other major issues.

Article 20 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the executive directors present at the meeting.

Article 21 The Standing Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.

Article 22 The president, vice-president and secretary-general of this group must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Group;

(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 23 If the president, vice-president and secretary-general of this group are over the maximum working age, they must be approved by the Council, reported to the competent business unit for examination, and approved by the registration authority of the association before taking up their posts. After retirement, the president of the Association may be appointed as honorary president as appropriate.

Article 24 The term of office of the president, vice-president and secretary-general of this group is five years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be reported to the competent business unit for review and approved by the registration authority of the association before taking office.

Article 25 The personnel arrangement and financial management of this group shall be supervised by the competent business unit, abide by the relevant regulations promulgated by China Academy of Social Sciences, and accept the political supervision of China Academy of Social Sciences. The legal representative of this group shall be recommended by the competent authority, and shall be the president or executive vice president. The legal representative of this group does not concurrently serve as the legal representative of other groups.

Article 26 The president (chairman) of this group shall exercise the following functions and powers:

(a) to convene and preside over the meeting of the Standing Council or the President;

(2) Nominating and proposing the appointment and removal of the vice president, the Secretary-General and the heads of branches;

(three) to check the implementation and implementation of the resolutions of the members' congress and the Standing Council;

(4) Signing relevant important documents on behalf of the group;

(5) Handling personnel and business-related matters of the Group.

(6) If the legal representative of the Group is the executive vice president, the executive vice president may exercise the functions and powers of the president upon consensus with the president.

Article 27 The Secretary-General of this group shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) To lead and coordinate the work of branches, representative offices and entities according to the opinions of the group president and executive vice president;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Twenty-eighth sources of funds for this group:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Twenty-ninth this group collects membership fees in accordance with the relevant provisions of the state.

Article 30 The funds of this group must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 31 The Group shall establish a strict financial management system to ensure that accounting information is legal, true, accurate and complete.

Article 32 The Group shall set up accountants with professional qualifications under the supervision and cooperation of the competent business units. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 33 The asset management of this group must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the competent financial department. If the source of assets belongs to state grants or social donations or subsidies, it must accept the supervision of audit institutions and publish relevant information to members in an appropriate way.

Article 34 Before a group changes or changes its legal representative, it must accept the financial audit organized by the registration authority of the association and the competent business unit.

Article 35 No unit or individual may occupy, privately divide or misappropriate the assets of this group.

Article 36 The wages, insurance and welfare benefits of the full-time staff of this group shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-seventh amendments to the articles of association of this group shall be submitted to the members' congress for deliberation after being voted by the Standing Council.

Article 38 The revised Articles of Association of the Organization shall come into effect within 15 days after it is adopted by the members' congress, agreed by the competent business unit and approved by the organization's registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 39 If a group has completed its purpose or dissolved itself or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 40 A motion for termination by an organization must be voted by the members' congress and reported to the competent business unit for examination and approval.

Article 41 Before the termination of the organization, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Forty-second this group shall terminate after the cancellation of registration by the association registration authority.

Forty-third after the termination of the group's remaining property, under the supervision of the competent business unit and the group registration authority, in accordance with the relevant provisions of the state, for the development of undertakings related to the purpose of the group.

Chapter VIII Supplementary Provisions

Article 44 The Articles of Association was adopted by the members' congress convened by the Preparatory Committee on June 5438+065438+1October1KLOC-0/.

Article 45 The right to interpret the Articles of Association belongs to the Council of the Organization.

Article 46 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
