Chapter I General Principles

Article 1 The name of this Association is China Health and Wellness Promotion Association, and the English name is China Health and Wellness Promotion Association, which is referred to as China Health Promotion Association and CAPSH for short. Article 2 China Health Promotion Association (hereinafter referred to as the Association) is a national first-class social group academic institution with independent legal personality, which is initiated by the old leaders of the health system, experts and scholars, and voluntarily formed by medical and health educators in Chinese mainland, Taiwan, Hong Kong and Macao. Article 3 The purpose of this Association is to unite and organize social forces from Chinese mainland, Taiwan, Hong Kong and Macao to participate in it, vigorously promote the development of China's medical and health education, promote and improve China's health status, improve people's health level, realize basic medical and health services for all, and strengthen exchanges and cooperation with foreign medical and health education. Article 4: Policy of the Association: Implement Scientific Outlook on Development and adhere to the strategy of rejuvenating the country through science and education. In line with the principle of serving the public, promote the development of medical and health undertakings, strive to improve the level of health science knowledge of the Chinese nation, and establish a healthy behavior and lifestyle. Article 5 In order to adapt to the new form of China's accession to the WTO, the Association has set up several functional departments, which accept the professional guidance and management of the Ministry of Civil Affairs, the Ministry of Health and the State Administration for Industry and Commerce. Chapter II Scope of Business

Article 7 The task of this Association is to carry out medical and health science popularization and health education activities through various channels and forms, so as to improve the people's medical and health knowledge level and enhance their self-care ability; The second is to organize medical, pharmaceutical, health care, medical biological products, health care and rehabilitation, medical devices and other related units and individuals to carry out academic, scientific and technological seminars, exchanges, publicity, training and other activities at home and abroad. Continuously improve the scientific and technological level and industrialization of the health industry; Third, carry out consulting services; Four, organize the selection and reward of outstanding medical scientific and technological achievements (including academic papers and popular science works, etc.). ); Five, to carry out medical academic exchanges, organize key academic topics and scientific investigation activities, and close the horizontal contact and cooperation between disciplines and academic groups; Six, editing and publishing medical academic, technical, information, popular science and other periodicals, books and materials and electronic audio-visual products; 7. Develop international academic exchanges; Eight, to undertake projects entrusted by superiors and relevant departments.

Chapter III Members

Article 8 Members of this Association are divided into individual members and group members. Article 9 Membership Requirements Anyone who recognizes the articles of association of this Association, is willing to fulfill its purpose, abide by laws and regulations, practice scientific ethics, and is willing to join this Association and meet the following conditions may apply to become a member of this Association. 1. Individual member: 1, graduated from medical and health colleges and obtained corresponding technical titles (qualifications); 2. Employees who graduated from non-medical colleges but engaged in medical and health education; 3. People who are engaged in the fields of medical care and medical and health industries and actively support the work of this association. 4. Members of other societies or organizations that meet the above conditions may apply to join this association across associations. Second, they are willing to participate in the activities of the association, support the articles of association, support the work of the association, have a certain influence on the business (industry and discipline) of the association, and have a certain number of scientific and technological personnel in medical and health education institutions, enterprises and institutions. Article 10 An individual member who has gone through the formalities of membership examination and approval shall be recommended by himself or his unit, and shall be issued with a certificate after being approved by the Council of this Association. The legal representative of the unit shall submit a written application to the Association and issue a certificate after approval by the Council of the Association. Article 11 Rights and obligations of members. Power 1. Enjoy the right to vote, to be elected and to vote; 2. Enjoy the right to criticize and suggest the work of this Association and supervise it; 3. Give priority to participating in relevant academic activities organized by the Association; 4. Give priority to international conferences organized by the Association and send representatives to attend international conferences; 5. Give priority to publishing papers in the journal of the Association and obtain relevant information published by the Association. 6. Join the association voluntarily and leave the association freely. II. Obligation 1, and compliance with the Articles of Association; 2. Implement the decisions of this Association and complete the work entrusted by this Association; 3. Participate in the science and technology promotion and popularization activities organized by the Association; 4. Participate in social welfare activities; 5. Pay the membership fee as required. Twelfth membership certificate (letter of appointment) printed by the Association. Article 13 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association within one year, it will be deemed as automatic withdrawal. We can no longer carry out activities in the name of our members. Article 14 If a member seriously violates the articles of association of this Association, he shall be removed from the membership with the approval of the Council of this Association, and membership certificate or the letter of appointment shall be withdrawn.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 15 The highest authority of this Association is the National Congress of its members, and its functions and powers are: 1. To formulate and revise the articles of association of this Association; Two. Election and removal of directors. Review the work report and financial report of the fourth Council. To decide on the working principles and tasks of the Council; V. Adoption of proposals and resolutions; 6. Decided to terminate; 7. Decide on other major issues. Article 16 The National Congress of Members shall be convened only when more than two thirds of the members' representatives are present, and its resolution shall be valid only if more than half of the members' representatives present agree. Article 17 The National Congress of Members shall be held every five years. If the meeting needs to be held in advance or postponed due to special circumstances, it must be discussed and approved by the board of directors, and the extension of the term of office shall not exceed one year. Article 18 The Council is the executive body of the National Congress of Members. When the National Assembly is not in session, it leads the work of the Council and is responsible to the National Assembly of Parliamentarians. The term of office is five years. Article 19 The functions and powers of the Council: to implement the resolutions or decisions of the National Congress of Members; 2. Elect or recall the president, vice president, secretary general and executive director; Third, prepare to hold a national member congress; Four, report the work and financial situation to the National Congress; V. Deciding to establish offices, branches, representative offices and entities; 6. To decide on the appointment of the Deputy Secretary-General of the Association and the principal responsible persons of various institutions; Seven, decided to recall all kinds of members; Eight, examination and approval of the annual academic plan and work plan; Nine, leading the work of various institutions of the Association; Ten, formulate internal management system; Xi。 Decide on other major matters. Article 20 A meeting of the board of directors shall be held only when more than two thirds of the directors are present. The resolution shall take effect only with the consent of more than two thirds of the directors present. The meeting of the Council is held once a year, and special circumstances can take the form of communication. Article 21 The Association shall set up a standing council, which shall exercise the functions and powers specified in items 1, 3, 5, 6, 7, 8, 9 and 10 of Article 18 when the council is not in session, and shall be responsible to the council for a term of five years. The executive director is elected by the board of directors from among the directors. The number of executive directors shall not exceed one third of the number of directors. Article 22 A meeting of the Standing Council shall be held only when more than two thirds of the executive directors are present, and its resolution shall be valid only if more than two thirds of the executive directors present at the meeting agree. Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in advance or postponed when necessary, and communication may be adopted in special circumstances. Article 24 The president, vice-president and secretary-general of this Association shall meet the following conditions: (1) Adhere to the Party's line, principles and policies and have good political quality; (2) It has great influence in the business field of the Association; (3) The maximum working age of the president and vice-president shall not exceed 70 years old, and the secretary-general shall be full-time and shall not exceed 62 years old when working; (four) good health, can adhere to the daily work; (5) Having not been subjected to criminal punishment of deprivation of political rights; (6) Having full capacity for civil conduct. Article 25 The President, Vice-President and Secretary-General of this Association shall be elected by the Council from among the executive directors. The term of office of the Chairman, the Vice-Chairman and the Secretary-General is five years, and may not be re-elected for more than two terms. If it is necessary to extend the term of office due to special circumstances, it must be agreed by more than two-thirds of the members' representatives at the members' congress before taking office. Article 26 The President, Vice-President and Secretary-General elected by the Association shall not take up their posts until they have passed the maximum working age. Article 27 The Secretary-General of this Association is the legal representative of this Association. The legal representative will sign relevant important documents on behalf of the Association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations. Article 28 The duties of the president of the Association are as follows: to convene and preside over the National Congress of Members, the Council meeting and the Standing Council meeting; Two, check the implementation of the resolutions and decisions of the National Congress, the Council meeting and the Standing Council meeting. Article 29 The duties of the Secretary-General of this Association are as follows: to preside over the daily work of the office and organize the implementation of the annual work plan; 2. Coordinate the work of branches, representative offices and entities; Three, nominate the deputy secretary general and the main person in charge of the functional departments of branches, representative offices, entities or offices, and report to the Council or the Standing Council for approval; 4. To decide on the employment of full-time staff in offices, representative offices and entities; 5. Handle other daily affairs of the Association. Thirtieth according to the needs of the work, the Council may set up a number of working committees as appropriate to undertake the relevant tasks assigned by the Council. Thirty-first according to the needs, the association will set up a number of full-time staff to form an office. Article 32 The positions, technical titles, salaries, insurance and welfare benefits of the full-time staff of this Association shall be implemented in accordance with the provisions of relevant state institutions.

Chapter V Principles of Asset Management and Use

Article 33 The source of funds of the Association: membership fees; 2. Funding or donations from individuals or groups at home and abroad; 3. Funding from relevant departments; 4. Income from engaging in activities or providing services within the scope of business approval permitted by law; 5. Other lawful income Article 34 The sources of funds of the Association must be lawful, and the funds must be used for the development of the Association's undertakings and shall not be distributed among members. Article 35 An association shall be equipped with full-time accountants and accept the supervision of relevant departments. When the accounting personnel are transferred, they must go through the handover procedures with the receiving party. Article 36 The asset management of this Association shall implement the financial system stipulated by the state, ensure the legality, truthfulness and completeness of accounting materials, and accept the supervision of the members' congresses, financial departments and audit institutions. Thirty-seventh funds are used for office expenses, scientific research expenses, academic activities expenses and self-management expenses (including staff labor expenses). Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Chapter VI Procedures for Amending the Articles of Association

Article 39 Amendments to the articles of association of the Association shall be jointly proposed by more than ten members, and submitted to the National Congress for deliberation after being adopted by the Council. Article 40 The amendment to the articles of association of this Association shall come into effect after being deliberated and adopted by the National Congress of Members.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 The termination of this Association shall come into effect only upon the proposal of the Council or the Standing Council and the consent of more than two-thirds of the representatives of the national congresses of the members. Forty-second before the termination of this association, a liquidation organization shall be established to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out. Article 43 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 44 The Articles of Association was voted by the Second National Congress of the Association in April, 20 1 1. Article 45 The emblem of the Association is a circular outline with a snake and a staff as the center, with a snake wrapped around the staff and a map of China as the background. The characters at the top and bottom of the picture are the Chinese traditional full name of the association and the English abbreviation "CAPSH", with white characters on a blue background.

Article 46 The right to interpret the Articles of Association belongs to the Council of the Association.
