Constitution of China Stadium Association
Article 1 China Sports Venues Association, the English name is China Sports Venues Association, and the English abbreviation is CSVA.

Article 2 China Gymnasium Association is a non-profit social organization legal person voluntarily composed of organizations and individuals engaged in sports-related business, the only national sports-related social organization in China, and the only legal organization that represents China in corresponding international sports-related organizations and activities.

Article 3 The purpose of China Gymnasium Association is to abide by the relevant national laws, regulations and policies, abide by social ethics, unite national stadium workers, promote the all-round and in-depth development of stadium work, serve the popularization and development of sports, enhance people's physique, implement the national fitness plan and the Olympic glory plan, and promote the development of sports undertakings and sports industries.

Article 4 China Gymnasium Association accepts the professional guidance, supervision and management of the State Sports General Administration, People's Republic of China (PRC) and the Ministry of Civil Affairs.

Article 5 The domicile of China Sports Venues Association is in Beijing.

Chapter II Scope of Business

Article 6 China Gymnasium Association shall organize, coordinate and promote the planning, design, construction, operation, consultation and training, scientific research and other related activities of national stadiums and gymnasiums in accordance with relevant national laws and regulations and sports principles and policies, so as to promote the healthy development of stadiums and gymnasiums in China. The scope of the association's activities is:

(a) to implement the laws, regulations and policies of the state and serve the development of sports venues and sports undertakings in China;

(two) to publicize and popularize the national fitness campaign, organize the masses to participate in sports activities, and organize competitive sports training and competitions;

(three) in accordance with the requirements of relevant national laws and regulations, organize and coordinate sports venues, improve service standards and maintain market order;

(four) to reflect the problems and suggestions on the management of stadiums and gymnasiums to the relevant government departments, safeguard the legitimate rights and interests of stadiums and gymnasiums, and promote the legalization of government management of stadiums and gymnasiums;

(five) to organize professional training and technical consultation for employees in stadiums and gymnasiums throughout the country;

(six) organize members to carry out various cooperative activities, learn from each other, support each other, and strengthen contact and cooperation;

(7) Organizing and participating in relevant international exchanges and exchange activities;

(eight) responsible for coordinating and organizing the scientific research work of sports venues;

(nine) other activities in line with the purpose of the association.

Chapter III Members

Article 7 Members of the Association include group members, unit members and individual members, and shall meet the following conditions:

(a) all provinces, autonomous regions, municipalities directly under the central government, cities under separate state planning and various industries can apply to join the association.

(2) The following venues and organizations may apply for membership:

1. All kinds of stadiums and gymnasiums in provinces, autonomous regions, municipalities directly under the central government, cities under separate state planning and various industries that have not yet established venue associations;

2. All kinds of stadiums and gymnasiums at all levels that have become members of all provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning or various industry venues associations;

Organizations and related enterprises engaged in the planning, design, construction, operation and scientific research of stadiums and gymnasiums.

(3) Persons who have made significant influence or outstanding contributions in the work of stadiums and gymnasiums may apply to become individual members.

Article 8 A member who applies to join the Association shall meet the following conditions in addition to the qualifications specified in Article 7:

(1) Supporting the articles of association;

(2) voluntarily joining the association;

(3) It has a certain influence in the business field of the Association.

Article 9 Membership procedures:

(1) submitting an application for membership;

(two) approved by the agency authorized by the Committee;

(3) The membership card shall be issued by an organization authorized by the Committee.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of the association;

(three) the priority and preferential right to obtain the services of the association;

(four) have the right to criticize, suggest and supervise the work of the association;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(1) Implementing the resolutions of the Association;

(two) to safeguard the legitimate rights and interests of the association;

(three) to complete the work assigned by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the situation to the association and provide relevant information.

Article 12 A member who withdraws from the Association shall submit a written application to the Association. Once approved, he will lose his membership and all the rights granted by the association and hand in his membership card.

Thirteenth members in any of the following circumstances, with the approval of the association, cancel their membership in China Sports Fitness Association:

Arrears of membership dues for more than one year;

(2) Serious violation of the Articles of Association and relevant regulations;

(3) Causing great reputation or economic losses to the Association;

(four) do not participate in the activities of the association within one year.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 14 The members' congress is the highest authority of this Association. The functions and powers of the members' congress are:

(a) to formulate and amend the articles of association;

(2) To elect and recall the chairman, vice-chairman, secretary-general, treasurer, standing committee members and members of the Association;

(three) to consider the work report and financial report of the Committee;

(4) Deciding to terminate.

(5) Deciding on other major matters.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.

Article 16 Members' congresses are held every four years and can be re-elected. Due to special circumstances, it is necessary to convene the members' congress and general election in advance or postponed, which shall be approved by the Standing Committee and reported to the competent business unit for examination and approval by the registration administration organ of the association, but the time for postponing the convening of the members' congress and general election shall not exceed one year.

Article 17 The Committee is the executive body of the general meeting of members, responsible for the general meeting of members and leading the Association to carry out its daily work when the general meeting is not in session.

Article 18 The functions and powers of the Committee are:

(a) to implement the resolutions of the members' congress;

(2) To elect and recall the chairman, vice-chairman, secretary-general, treasurer and the Standing Committee when the members' congress is not in session;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb and recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 19 The committee shall be convened only when more than two thirds of the members present, and its resolution shall be valid only when more than two thirds of the members present vote.

Article 20 The Committee shall meet at least once a year. Under special circumstances, it can also be held by means of communication.

Article 21 The Association shall establish a standing committee. The Standing Committee shall be responsible to the Committee, and its number shall not exceed 1/3 of the Committee. When the Committee is not in session, the Standing Committee shall exercise the functions and powers listed in Article 18, paragraphs 1, 3, 5, 6, 7, 8 and 9.

Twenty-second meetings of the Standing Committee can only be held when more than two thirds of the members of the Standing Committee are present, and its resolutions can only take effect if they are voted by more than two thirds of the members of the Standing Committee present at the meeting.

Twenty-third meetings of the Standing Committee shall be held at least once every six months, and may be held in the form of communication under special circumstances.

Article 24 The chairman, vice-chairman, secretary-general and treasurer of this Association shall meet the following requirements:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum working age is no more than 70 years old;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 If the chairman, vice-chairman, secretary-general and financial officer of this Association are over the maximum working age, they can take up their posts only after being approved by the Committee, reported to the competent business unit for examination and approved by the registration authority of this Association.

Article 26 The term of office of the President, Vice-President, Secretary-General and Treasurer of this Association shall be four years, and the longest term shall not exceed two years. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.

Twenty-seventh the legal representative of the association, after examination by the competent business unit, and approved by the registration authority of the association, shall be the secretary general.

The legal representative of the association shall not concurrently serve as the legal representative of other organizations.

Article 28 The chairman of the Association shall exercise the following functions and powers:

(a) to convene and preside over the Committee (Standing Committee);

(two) to check the implementation of the resolutions of the members' congresses, committees and standing committees;

(three) on behalf of the association or authorized to sign relevant important documents.

Article 29 The Secretary General of the Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submitting them to the Standing Committee for decision;

(four) to decide on the appointment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Article 30 The Association shall set up several professional committees according to the needs of work. If a professional committee does not have the qualification of an independent legal person, it shall be established by decision of the Standing Committee, submitted to the competent authority for examination and approval, and applied to the registration authority of the association for registration. Under the unified leadership of the association, the professional committees work within the scope of the articles of association.

Chapter V Principles of Asset Management and Use

Thirty-first sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 32 the association collects membership fees in accordance with relevant state regulations.

Thirty-third Association funds must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 34 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 35 An association shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accounting must be carried out and accounting supervision must be carried out. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 36 The asset management of the association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 37 Before an association changes its term of office or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Article 39 The wages, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Fortieth amendments to the Articles of Association must be approved by the Standing Committee and reported to the members' congress for deliberation.

Article 41 The revised articles of association of this Association shall come into effect within 15 days after being passed by the members' congress, reviewed and agreed by the competent business unit, and approved by the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 42 If an association has fulfilled its purpose or is dissolved or needs to be revoked due to division or merger, the Standing Committee shall propose a motion to terminate it.

Forty-third the motion to terminate the association must be voted by the members' congress and reported to the competent business unit for approval.

Forty-fourth before the termination of the association, a liquidation group must be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Forty-fifth associations shall be terminated after the cancellation of registration by the association registration authority.

Forty-sixth after the termination of the association, the remaining property shall be used for the development of undertakings related to the purpose of the group in accordance with the relevant provisions of the state under the supervision of the competent business units, organizations and other filing management organs.

Chapter VIII Supplementary Provisions

Article 47 The national flag, emblem and other symbols of the Association shall be examined and approved by the members' congress, and no unit or individual may copy or use them for commercial activities without permission.

Article 48 The Articles of Association was adopted by the members' congress on.

Article 49 The right to interpret the Articles of Association belongs to the Committee of this Association.

Article 50 The Articles of Association shall come into force as of the date of approval by the association registration authority.
