After several outdoor activities, we spontaneously set up a non-profit outdoor sports organization-"Zibo Snowy Night Outdoor Sports Club". Article 3 The nature of this club is a social organization that uses non-state-owned assets and resources to organize and engage in non-profit social service activities.

Article 4 The purpose of the club is:

Abide by national laws and regulations and the Interim Provisions on the Administration of Sports Clubs. Under the premise of the relevant articles of association of the State Sports General Administration, realize the desire of members to expand outdoor education and outdoor sports, abide by social morality and carry out outdoor sports safely.

Article 5 The purpose of establishing a club is to improve the outdoor sports level of its members, expand exchanges with outdoor sports enthusiasts, promote outdoor sports and improve the physical fitness of the whole nation. Members are both participants and organizers.

Article 6 The registration authority of this club is Zibo Civil Affairs Bureau; The business management unit of the club is Zibo Sports Bureau. Go to the competent business unit for annual inspection before March 3 1 and go to the registration authority for annual inspection before May 3 1 every year.

Chapter II Legal Representative of the Club

Article 8 The legal representative of the club is:

The chairman is the legal representative of the club. The appointment and replacement of the chairman shall notify the local sports management department to handle the change registration. In any of the following circumstances, he shall not be the legal representative of the club:

1. No capacity for civil conduct or limited capacity for civil conduct;

2. Being subjected to criminal punishment or criminal compulsory measures;

3. Wanted by public security organs or state security organs;

4. Being sentenced to punishment for a crime, and the execution period is less than three years, or being sentenced to deprivation of political rights for a crime, and the execution period is less than five years;

5. Being the legal representative of a private non-enterprise unit whose registration has been cancelled due to violation of the law, and it has not been more than three years since the date when the unit was cancelled;

6. Non-Chinese mainland residents;

7. Other circumstances in which the legal representative is prohibited by laws and regulations.

Article 9 The chairman shall exercise the following functions and powers:

1. Understand the operation and financial status of the club.

2. Preside over the general meeting of members and convene the meeting of the Council;

3. Check the implementation of the resolutions of the General Assembly and the Council;

4. Recommend directors and supervisors;

5. Sign relevant documents on behalf of the club;

6. Have the right to consult the minutes of the board meeting and the financial and accounting reports of the club.

7. In case of emergency such as war and catastrophic natural disasters, under the premise of meeting the interests of the club, exercise special adjudication power and disposal power on club affairs, and report to the board of directors and the general meeting afterwards.

1, mountain climbing, rock climbing, ice climbing, hanging down, cliff falling, waterfall falling, upstream stream, stay cable, cross-country, camping, picnic, rafting, gliding, skiing, diving, kayaking, orienteering, hole-exploring, mountain bike cross-country, hiking, self-help, self-care for teenagers and outward bound training for enterprise employees.

2. Outdoor sports knowledge lectures, medical first aid knowledge lectures, outdoor nutritious food catering lectures, parties, dinners, outings, music, movie appreciation and social activities.

3. Organize and participate in various outdoor sports and competitions at home and abroad.

4. The club provides professionals, technical equipment and venue routes, and plans various outdoor sports and expansion activities for schools, government organizations, companies, enterprises and institutions.

Article 14 Areas of activity:

Members' training activities are mainly in clubs and various sports and fitness places in Zibo, and outdoor expansion activities are mainly in the eastern coastal mountainous areas and inland rivers and lakes.

Chapter V Membership, Membership, Rights, Obligations, Withdrawal, Delete and Appeal

Article 15 Detailed membership rules:

According to the characteristics of outdoor sports, the club implements membership system. Members can become different members and enjoy different rights and obligations according to their own wishes and the actual situation of participating in activities. The "Membership Rules" discussed and adopted by the general meeting of members clearly stipulates membership, membership, rights and obligations, withdrawal, delisting, complaints, etc.

Chapter VI The organization of the club and its methods of formation, powers and rules of procedure.

Article 16 The functions and powers of the general meeting of members:

The general meeting is composed of members stipulated in the detailed rules of membership, and it is the executive body of the club, which has the final decision on the development of the club. Exercise the following functions and powers:

1. Review the articles of association drafted by the board of directors, put forward suggestions for improvement, and vote on the revised articles of association;

Article 17 The first meeting of the general meeting of members shall be composed and convened by the promoters of the club.

Article 18 The general meeting of members is divided into regular meetings and temporary meetings, and all members shall be notified fifteen days before the meeting is held. Regular meetings are held once a year, and interim meetings can only be held upon the proposal of more than two directors, more than ten members or supervisors. If a member is unable to attend the shareholders' meeting in person due to special reasons, he may entrust other members to exercise the rights stipulated in the power of attorney in writing.

Article 19 The general meeting of members shall be convened by the Council and presided over by the chairman. When the chairman is unable to perform his duties due to special reasons, the executive director or other directors designated by the chairman shall preside over the meeting.

Article 20 A general meeting of members can only be held when more than two thirds of the members are present, otherwise the resolution of the general meeting is invalid.

Article 21 The general meeting of members shall make resolutions on the matters discussed, which shall be adopted by more than two-thirds of the voting members present at the meeting. Article 23 The club shall have a board of directors with 3-5 members. The first session is directly elected by the general meeting of members, and the other sessions are elected by members who have served as members of the member affairs Committee or technical Committee for two times. The term of office is four years, and can be re-elected at the expiration of the term. Before the expiration of the term of office of a director, the general meeting of members shall not dismiss him without reason. Article 24 The Council shall exercise the following functions and powers:

1. Be responsible for convening the general meeting of members and reporting the work to the general meeting;

3. Decide on the development plan of the club;

4. Decide the financial plan of the club;

5. Draw up the merger and change plan of the club;

6. Decide on the setting of the internal management organization of the club;

7. Decide on the number of members' affairs committees and technical committees, and appoint and remove the heads of the members' affairs committees and technical committees. To appoint or dismiss the person in charge of finance according to the nomination of the person in charge of the member affairs committee;

8. Formulate the basic management system of the club;

Article 25 The Council shall be convened and presided over by the chairman. When the chairman is unable to perform his duties due to special reasons, the executive director or other directors designated by the chairman shall convene and preside over the meeting. Two or more directors may propose to convene a board meeting, and shall notify all directors 10 days before the meeting.

Article 26 Decisions made by the board of directors on matters discussed shall be valid only after being approved by more than three directors, and meeting minutes shall be kept. The directors present at the meeting shall sign the minutes of the meeting.
